REAL ESTATE FINANCE TRANSACTIONS

Our attorneys have represented lenders, loan participants, borrowers, and equity investors in a variety of commercial real estate financing transactions. We have experience in mortgage loan origination involving fee and leasehold interests, including credit tenant financing. Each of our attorneys also has extensive experience with finance transactions uniquely structured for the capital markets and commercial mortgage-backed securitizations as well as the representation of mezzanine lenders in connection with the origination, the purchase and sale of mezzanine loans, and the negotiation of intercreditor agreements.

ACQUISITIONS AND DISPOSITIONS

Our attorneys have handled a myriad of acquisitions and sales on behalf of sellers and purchasers involving office, hotel, and retail properties as well as undeveloped land. We have extensive experience negotiating and drafting transaction documents on behalf of both buyers and sellers, including in connection with the structuring of joint ventures and partnership transactions.

We are experienced in undertaking extensive due diligence for a wide range of projects and working closely with title companies, appraisers, brokers, surveyors, environmental consultants and other professionals in facilitating the successful completion of our clients’ desired goals.

COMMERCIAL LEASING

Our lawyers have experience representing both landlords and tenants in a wide variety of leasing matters. This dual experience provides a broad and unique perspective enabling us to offer enhanced value and insight to our clients.

Our transaction experience ranges from ground leasing, retail leasing, and office leasing to industrial leasing. We offer advice from the term sheet stage through lease drafting and negotiations. We also have considerable experience documenting and coordinating the tenant build-out process.

WORKOUTS AND RESTRUCTURING

We have extensive experience representing portfolio lenders and both master and special loan servicers in connection with loan modifications and workouts of distressed real estate projects that have included hotels, shopping centers, healthcare facilities, and office buildings. Our experience has included transactions involving lease rejections in bankruptcy and asset sales. Our attorneys have experience with receivership scenarios, foreclosures, and deeds-in-lieu of foreclosure.
